Terms of Service

1. Service Description

MonAI Global Ltd ("MonAI", "we", "our", or "us") provides Hardware-as-a-Service for document processing and AI-powered document analysis. The service includes on-premises hardware, pre-installed software, setup, training, support, and ongoing software updates.

2. Hardware-as-a-Service Model

MonAI operates on a subscription-based Hardware-as-a-Service model:

  • All hardware remains the property of MonAI Global Ltd
  • Hardware is provided for the duration of your active subscription
  • You do not own, lease-to-own, or acquire ownership rights to the hardware
  • Upon termination of service, hardware must be returned to MonAI
  • You are responsible for the safekeeping of hardware while in your possession

3. Contract Terms

Minimum Term: 12 months from the date of service activation

After Minimum Term: Service continues month-to-month. Either party may terminate with 30 days written notice.

Monthly Fee: £1,500 per month, payable in advance. Price subject to change with 60 days notice after the initial 12-month term.

4. Your Responsibilities

  • Provide suitable physical space and power for hardware operation
  • Maintain reasonable security measures to protect hardware from theft or damage
  • Report any hardware issues or malfunctions promptly
  • Allow MonAI access for maintenance, updates, or hardware replacement
  • Return hardware in good working condition upon service termination

5. Service Levels and Support

MonAI will provide:

  • Initial on-site setup and installation (approximately 2 hours)
  • Staff training on system usage
  • Remote monitoring of hardware and software
  • Regular software updates and improvements
  • Technical support during UK business hours (9am-5pm GMT, Monday-Friday)
  • Hardware replacement in case of malfunction

6. Data Processing and Ownership

Your Data: All documents processed through MonAI remain your property and are processed entirely on-premises.

No Cloud Storage: MonAI does not store, transmit, or access your processed documents.

Usage Analytics: We may collect anonymized, aggregated usage statistics for service improvement. This does not include document content or client data.

7. Intellectual Property

All software, algorithms, interfaces, and documentation provided by MonAI remain our exclusive intellectual property. You receive a limited, non-exclusive, non-transferable license to use the software during your active subscription.

8. Limitation of Liability

MonAI provides document processing tools to assist your workflow. You remain responsible for:

  • Verifying accuracy of extracted data before use
  • Compliance with FCA regulations and industry standards
  • Final decisions based on processed information
  • Client-facing documentation and advice

MonAI is not liable for business losses, financial advice outcomes, or regulatory compliance issues arising from your use of the service.

9. Termination

By You: After the 12-month minimum term, cancel with 30 days written notice. Monthly fees are non-refundable.

By Us: We may terminate immediately for non-payment, breach of terms, or misuse of service.

Upon Termination: You must return all hardware within 14 days. Failure to return hardware may result in charges equal to the replacement cost.

10. Changes to Terms

We may update these terms with 30 days notice. Continued use of the service after notice constitutes acceptance of revised terms.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
